These Terms of Service ("Terms") govern your access to and use of the DealCanvas websites, applications, APIs, and related services (collectively, the "Services"). By creating an account, accessing the Services, or using any DealCanvas generated research, you agree to be bound by these Terms and our Privacy Policy. If you are using the Services on behalf of an organization, you represent that you have authority to bind that entity to these Terms.
You must be at least 18 years old and legally able to enter into contracts to use the Services. You are responsible for maintaining accurate account information, safeguarding your credentials, and promptly informing us of any unauthorized use. DealCanvas may suspend or terminate accounts that are inactive, compromised, or violate these Terms.
Certain features require a paid subscription. Fees, billing intervals, and included usage limits are described at the time of purchase. All payments are due in U.S. dollars unless otherwise stated and are non-refundable except where required by law. DealCanvas may change pricing with prior notice; continued use after an update constitutes acceptance of the new rates.
The Services help automate company research by aggregating, analyzing, and formatting business information. You may use DealCanvas reports and outputs solely for your internal business purposes and in accordance with applicable laws. You may not resell, sublicense, or publicly distribute DealCanvas content without our prior written consent. All rights not expressly granted are reserved by DealCanvas.
Any data files, instructions, or content you provide ("User Content") remain yours. You grant DealCanvas a worldwide, royalty-free license to host, process, and analyze User Content solely to deliver the Services and improve our capabilities. If you submit feedback or suggestions, DealCanvas may use them without obligation or compensation.
You agree not to (a) access the Services using unauthorized means; (b) interfere with security, integrity, or availability; (c) attempt to reverse engineer underlying models or systems; (d) submit malicious code or infringing content; or (e) use DealCanvas data to compete with our products. We may monitor usage to enforce these rules and to protect the platform and our customers.
DealCanvas insights may reference third-party sources. Those sources are not controlled by DealCanvas, and we are not responsible for their accuracy, availability, or legal compliance. Links to external websites are provided for convenience and do not indicate endorsement.
The Services are provided on an "as is" and "as available" basis. DealCanvas disclaims all warranties, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, non-infringement, and accuracy of data. DealCanvas does not guarantee that reports will produce any particular business outcome, and you remain responsible for verifying critical information independently.
To the fullest extent permitted by law, DealCanvas and its affiliates will not be liable for indirect, incidental, consequential, special, or exemplary damages, including lost profits, lost data, or business interruption. Our total liability for any claim arising out of or relating to the Services will not exceed the amounts you paid to DealCanvas during the twelve (12) months preceding the event giving rise to the claim.
You agree to defend, indemnify, and hold harmless DealCanvas, its affiliates, and their respective officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from your use of the Services or violation of these Terms.
You may stop using the Services at any time. We may suspend or terminate access if you violate these Terms, fail to pay fees, or create legal risk for DealCanvas. Sections intended to survive termination—such as ownership, disclaimers, indemnities, and limitations of liability—will remain in effect after your access ends.
These Terms are governed by the laws of the State of Delaware, excluding conflict of law rules. Any disputes will be resolved in the state or federal courts located in Wilmington, Delaware, and the parties consent to personal jurisdiction in those courts. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
DealCanvas may update these Terms from time to time to reflect changes in our Services, business requirements, or applicable laws. When we make material updates, we will post the new Terms on this page and update the "Last updated" date. Continued use of the Services after the revised Terms become effective constitutes acceptance of those changes.
